1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Merchant" or "you") and LivréPay ("Company", "we", "us", or "our") governing your access to and use of the LivréPay payment gateway platform and associated APIs, dashboards, and services (collectively, the "Services").

By registering for an account or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility and Account Registration

To use the Services, you must:

  • Be at least 18 years of age
  • Be a legally registered business or a sole trader operating lawfully
  • Provide accurate, complete, and up-to-date registration information
  • Complete our KYB (Know Your Business) verification process
  • Not be prohibited from using financial services under applicable law

We reserve the right to refuse account registration or suspend an existing account at our sole discretion if eligibility requirements are not met or maintained.

3. Services Description

LivréPay provides a unified payment gateway that enables merchants to accept payments from customers through multiple payment providers including Wave, Orange Money, MTN Mobile Money, Peya Pay, and cryptocurrency networks.

The Services include payment collection, transaction status tracking, webhook notifications, API access, and (for applicable plans) automatic settlement of funds to your designated bank or mobile money account.

4. Fees and Pricing

Payment Collection Plan: A fee of 2.5% applies to each successfully processed transaction.

Collection + Settlement Plan: A fee of 3.5% applies to each successfully processed transaction. This plan includes automatic fund settlement to your registered account.

Fees are deducted automatically from transaction proceeds. There are no monthly subscription fees. We reserve the right to amend our fee schedule upon 30 days' written notice to merchants.

5. Merchant Obligations

As a merchant using the Services, you agree to:

  • Use the Services only for lawful business purposes
  • Not process transactions for prohibited goods or services (see Section 6)
  • Maintain the confidentiality of your API keys and account credentials
  • Implement appropriate security measures in your integration
  • Notify us promptly of any unauthorized use of your account
  • Keep your business and contact information current and accurate
  • Comply with all applicable laws, including consumer protection and tax obligations

6. Prohibited Activities

You may not use the Services to process payments for:

  • Illegal goods, services, or activities under applicable law
  • Gambling, betting, or games of chance without appropriate licensing
  • Adult content not compliant with local regulations
  • Weapons, ammunition, or explosives
  • Fraudulent or deceptive transactions
  • Money laundering, terrorist financing, or sanctions evasion
  • Pyramid schemes or unregistered investment programs

Violation of this section may result in immediate account suspension, fund withholding, and reporting to relevant authorities.

7. API Usage and Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the LivréPay API solely for the purpose of integrating the Services into your own application or website, in accordance with our API documentation and these Terms.

You must not reverse-engineer, decompile, or create derivative works based on our platform, documentation, or APIs. All intellectual property in the Services remains the sole property of LivréPay.

8. Settlements and Refunds

Settlements are subject to successful verification of transactions and applicable fraud checks. Settlement timelines are set out in your merchant dashboard and may vary by payment provider.

You are solely responsible for your refund policy toward your customers. Initiating a refund through our platform will reverse the transaction amount; the associated fee is non-refundable.

We reserve the right to withhold or delay settlements if we reasonably suspect fraudulent activity, excessive chargebacks, or violations of these Terms.

9. Suspension and Termination

We may suspend or terminate your access to the Services immediately and without notice if:

  • You violate these Terms or our Acceptable Use Policy
  • We are required to do so by law or a regulatory authority
  • We detect fraud or suspicious activity on your account
  • You become insolvent or enter into bankruptcy proceedings

You may terminate your account at any time by contacting support@livrepay.com. Outstanding balances will be settled according to our standard settlement schedule after a verification hold period.

10. Limitation of Liability

To the maximum extent permitted by applicable law, LivréPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from your use of or inability to use the Services.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total fees you paid to us in the three (3) months preceding the claim.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Indemnification

You agree to indemnify, defend, and hold harmless LivréPay and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with applicable arbitration rules. Nothing in this section prevents either party from seeking emergency injunctive relief from a competent court.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated to you via email or a prominent notice on our platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
